These General Terms and Conditions for Event Tickets (hereinafter referred to as: "General Terms and Conditions”) apply to every offer made by Greenhouse Talent BV (with its registered office at Lange Violettestraat 293, 9000 Ghent and company number 0864.597.622; hereinafter referred to as: "GHT”) and any agreement concluded between GHT and the person purchasing a ticket for an event organised by GHT (hereinafter referred to as: the "Visitor”). These General Terms and Conditions also apply if the offer is made, or these agreements are concluded, via an official ticketing organisation engaged by GHT for the event in question.
In these General Terms and Conditions, 'event' means: an organised event of a musical, cultural, sporting and/or recreational nature and/or other gathering in the broadest sense of the word.
In these General Terms and Conditions, 'venue where the event is held' means: the actual location of the event as well as all surrounding areas, spaces, fields, etc. that form part of the complex within which the event is held.
Any deviations from these General Terms and Conditions shall only be binding if and to the extent that GHT has expressly agreed to them in writing.
GHT expressly rejects the applicability of any General Terms and Conditions of the Visitor.
The invalidity of any provision of these General Terms and Conditions shall not affect the validity of the remaining provisions.
The General Terms and Conditions of the official ticketing organisation engaged by GHT for the event in question shall also apply to the agreement. In the event of any conflict, GHT's General Terms and Conditions shall prevail.
ARTICLE 2 - Formation of the agreement regarding admission tickets
The agreement between GHT and the Visitor regarding attendance at an event is formed at the moment the Visitor purchases an admission ticket for the event from GHT or from an official ticketing organisation engaged by GHT.
An admission ticket may consist of a document issued by GHT or a barcode issued by GHT. This barcode is a unique code.
The admission ticket is issued once and grants access to one person.
The admission tickets are and remain the property of GHT. Only admission tickets purchased from GHT, or from official ticketing organisations engaged by GHT, are recognised as valid by GHT.
The admission ticket entitles the holder to attend the event. Only the holder of the admission ticket who is the first to present it at the start of the event will be granted access. GHT may assume that the holder of this admission ticket is also the rightful owner (the Visitor) thereof. GHT is not obliged to carry out further checks on valid admission tickets. The Visitor must ensure that they become and remain the holder of the admission ticket issued by GHT or by an official ticketing organisation engaged by GHT.
From the moment the admission ticket is made available to the Visitor, the Visitor therefore bears the risk of loss, theft, damage or misuse of the admission ticket.
Once purchased, admission tickets will not be accepted for return by GHT and cannot be exchanged. The right of withdrawal is excluded, in accordance with the provisions of Articles VI.53(12) and VI.73(12) of the Economic Law Code. Nor will a refund of the purchase price or booking fees be made, unless otherwise provided for in these General Terms and Conditions.
Only purchases made from the official ticketing organisations engaged by GHT or from GHT itself guarantee the validity of the admission ticket. The burden of proof in this regard rests with the Visitor.
The admission ticket, which consists of a barcode, will be sent to the Visitor via electronic communication (email). If the Visitor has chosen to receive the admission ticket in this manner, the Visitor must ensure that this admission ticket can be provided via electronic communication and that it can be provided securely. GHT cannot guarantee either the confidentiality of the admission ticket provided or the receipt of the admission ticket.
GHT reserves the right to set a maximum limit on the number of admission tickets that can be booked. In such cases, the Visitor is obliged to adhere to the maximum limit set by GHT.
If the Visitor is not satisfied with the services provided by GHT, the Visitor may submit a complaint in writing (or by email) within 14 days of the event, quoting his or her customer number and/or order number. Complaints submitted after 14 days will not be considered, without prejudice to Article 7 of these General Terms and Conditions. Complaints not submitted by the original Visitor (the person who purchases a ticket for an event organised by GHT) will also not be considered. GHT aims to resolve the complaint within six weeks.
ARTICLE 3 - Prohibition on resale, etc.
The Visitor is obliged to keep the admission ticket for an event for their own use. The provisions of the Act of 30 July 2013 on the sale of event tickets, in particular Article 5, apply. The Visitor is therefore not permitted to resell event tickets to third parties in any way, to offer them for sale, or to offer or provide them to third parties for commercial purposes. Only the occasional sale of admission tickets, other than priority admission tickets and promotional admission tickets, at the price stated on the admission ticket is permitted.
The Visitor is obliged towards GHT not to advertise or engage in any (other) form of publicity in connection with the event and any part thereof.
Any Visitor who does not make their admission ticket available to third parties for commercial purposes or resell it in accordance with the provisions of Article 3.1, is obliged to impose the obligations imposed on him as a Visitor, as set out in the preceding paragraphs of this article, on the person to whom he makes the admission ticket available, and guarantees to GHT that this person or these persons will comply with these obligations. GHT is entitled (but not obliged) to check the identity of the ticket holder to determine whether it matches the Visitor's name, and, if it does not match, to refuse the holder entry to the event.
If the Visitor fails to fulfil their obligations as set out in the preceding paragraphs of this Article 3 and/or cannot guarantee such fulfilment, GHT is entitled to a fixed compensation of €5,000 per breach, which, in the event of a breach of Article 3.2 of these General Terms and Conditions, shall be increased by €1,000 for each day that the breach has continued and continues. This fixed compensation is payable without prejudice to GHT's right to claim, in addition, performance and/or compensation from the Visitor for any greater loss suffered or to be suffered.
ARTICLE 4 - Admission, Stay and Safety
The Visitor is obliged, if requested, to cooperate with searches of their person and of any hand luggage or other baggage they are carrying, either before or during the event.
The Visitor must be in possession of a valid and undamaged admission ticket both before the start of and during the event, and for as long as he/she remains at the venue where the event is being held. He/she is obliged, at the request of the operator of the venue where the event is being held, to show his/her admission ticket to security staff and other authorised persons.
During their stay at the venue, the Visitor must behave in accordance with the applicable standards of public order, morality and decency. Furthermore, the Visitor is obliged to behave in accordance with the house rules applied by GHT relating to the event in question, as well as the house rules applied by the venue operator. In this regard, the Visitor is also obliged to follow the regulations and/or directions and instructions given by GHT officials who are recognisable as such (including but not limited to security staff, the fire brigade and other authorised persons) or by the venue operator.
Visitors are required to provide proof of identity upon first request, both whilst attending the event and when purchasing a ticket, to enable GHT, amongst other things, to comply with its legal obligations in relation to events, including the obligation not to serve alcohol to persons under the age of 18
It is prohibited to bring bags and rucksacks to the venue where the event is taking place. Handbags no larger than A4 size are, in principle, exempt from this rule. Bags and rucksacks that do not comply with this will not be accepted for storage.
It is prohibited to bring photographic, film and other recording equipment (other than a mobile phone) to the venue where the event is taking place, on pain of confiscation for the duration of the event. Recording of the event in any form whatsoever, including photography, filming and the making of (other) audio and/or video recordings, is prohibited, as is the reproduction of and/or copying from the programme (booklet), posters and other printed matter. All such recordings will be confiscated and destroyed without further notice.
Visitors are not permitted to bring pets, glassware, plastic bottles, tins, fireworks, firearms and/or dangerous objects, (hard) drugs, alcoholic beverages, nitrous oxide and foodstuffs in any form of packaging to the venue where the event is taking place, on pain of these items being confiscated, with or without the possibility of their return.
Unless the Visitor has obtained prior written permission from GHT, they are not permitted to offer goods of any kind for sale or exchange at the venue, or to provide such goods free of charge to third parties.
If the Visitor leaves the venue where the event is taking place after entering it, the admission ticket loses its validity.
For unaccompanied attendance (i.e. without the supervision of an adult) at the event, GHT recommends a minimum age of 16. GHT advises younger Visitors to attend an event under the supervision of an adult. GHT reserves the right to apply a mandatory minimum age for specific events. This will be clearly communicated in advance.
The Visitor shall be liable for all damage suffered by GHT as a result of a breach of the provisions of this Article 4.
ARTICLE 5 - Rights of GHT
In the event of a breach by the Visitor of (one or more of) the provisions set out in these General Terms and Conditions, GHT is entitled to invalidate the admission ticket or to refuse/deny the Visitor (further) access to the event or to remove the Visitor, without the Visitor being entitled to a refund of the amount paid to GHT for the admission ticket (including service charges), whether or not via an official ticketing organisation.
GHT is entitled, without giving reasons, to refuse the Visitor (further) access to the venue or to remove the Visitor from the venue (or have them removed) if a Visitor behaves inappropriately, i.e. in a disruptive or disturbing manner or exhibits misconduct (see also Article 4.3.) or if GHT deems this reasonably necessary to maintain peace and order during the event. In such a case, the Visitor shall not be entitled to a refund of the purchase price of the admission ticket.
If there are reasonable grounds to suspect that the admission ticket has been forged, GHT is entitled to refuse the holder of this admission ticket (further) access to the event, without the Visitor or the holder being entitled to claim any compensation for any loss suffered as a result.
In order to maintain public order and safety at the event venue, GHT uses security cameras that record footage. The artist and GHT are also entitled to make (or have made) video and/or audio recordings of the event and to use such footage (for promotional purposes) for themselves and/or on behalf of their partners or sponsors. Every Visitor attending the event consents to the making of the video and/or audio recordings referred to in this Article 5.4 and, in the event that he or she appears in the recordings, waives any right to compensation (e.g. for the use of image rights). Any personal data of Visitors contained in the aforementioned image and/or sound recordings will be processed by GHT in accordance with Article 8 of these General Terms and Conditions, its privacy statement and the applicable regulations. This processing takes place, with regard to the video recordings from security cameras, to comply with a legal obligation incumbent on GHT and/or to protect the vital interests of Visitors, and, with regard to the other video and/or audio recordings, to safeguard the legitimate commercial interests of GHT and/or on the basis of your consent. If the processing is based on your consent, you may withdraw this consent at any time in the manner set out in GHT's privacy statement.
GHT is entitled, without giving reasons, to move Visitors to other seats and/or sections within the same ticketing category prior to or during an event. If a Visitor is moved to a seat and/or section with a higher ticketing value, no costs will be incurred by the Visitor as a result of this move.
GHT is permitted to implement additional (safety) measures for each event. GHT will announce and communicate the introduction of such measures to the Visitor in good time, for example by sending an email and/or posting a notice on its website and/or the venue's website. It is ultimately the Visitor's responsibility to be aware of such additional (safety) measures.
ARTICLE 6 - Force majeure
In the event of force majeure in the broadest sense of the term, GHT shall be entitled to reschedule the event to a later date, to amend the event (for example, by booking a replacement headliner) or to cancel the event.
Force majeure within the meaning of this article includes (but is not limited to): any circumstance beyond GHT's control, even if this was already foreseeable at the time the agreement between GHT and the Visitor was concluded, which temporarily or permanently prevents the performance of the agreement, as well as, insofar as not already included therein:
cancellation by an artist for any reason whatsoever;
war, acts of war, civil war, epidemics, insurrection, riots, terrorism and terrorist threats;
intervention by the police and/or fire service;
strikes;
transport difficulties;
fire;
other serious disruptions on the part of GHT and/or at the venue;
weather conditions;
public transport not operating for any reason whatsoever;
the circumstance that an event cannot take place because the permits required for the event have not been granted or have been withdrawn, or must be cancelled pursuant to an order to that effect issued by the competent authority.
If the event is cancelled by GHT as a result of or in connection with force majeure, GHT shall be obliged solely to refund the Visitor the amount stated on the admission ticket, regardless of the price the Visitor paid for the ticket. Refunds will be made within a reasonable period after the cancellation date via the official ticketing organisation engaged by GHT or, if the admission ticket was purchased directly from GHT, via GHT, and this only after the Visitor has handed over a valid and undamaged admission ticket for the (cancelled) event to this ticketing organisation or GHT (depending on where the ticket was purchased). Other damages (including travel and accommodation costs) will not be reimbursed. Nor can the Visitor claim (replacement) admission to another event.
If, as a result of or in connection with force majeure, GHT postpones the event to a different date or alters it (for example, by booking a replacement headliner), the ticket remains valid for the new date on which the event will take place or for the altered event. Should the Visitor be unable or unwilling to attend the event on the new date or the modified event, they are entitled to return their ticket for a refund of the price stated on the ticket (regardless of the price the Visitor paid for the ticket) and, depending on where they purchased the ticket, from GHT or the ticketing organisation engaged by GHT. Unless otherwise agreed by GHT, this refund will only be made if the Visitor presents a valid and undamaged admission ticket to GHT (or the ticketing organisation engaged by GHT) within the period specified in the email notification of the change. In any event, the Visitor may no longer claim a refund of the aforementioned fee once the event has already taken place.
ARTICLE 7 - GHT's Liability
If GHT is liable to compensate the Visitor for damage suffered by the Visitor, GHT shall be liable to compensate the Visitor only up to a maximum of twice the ticket price as stated on the admission ticket for the event that gave rise to the damage. If GHT's liability for the damage is covered by insurance and the insurer in question proceeds to make a payment in a specific case, GHT's liability shall in no event exceed the payment made by the insurer under the insurance policy, plus the amount of GHT's excess under the relevant insurance policy. GHT's liability is in any event (but not exclusively) excluded for:
damage not caused by an act or omission on the part of GHT, but arising from entering the venue where the event takes place and attending the event, such as damage to hearing and/or eyesight and other physical impairments; the Visitor enters and attends the event at their own risk, and GHT recommends that the Visitor take the necessary and appropriate measures themselves to minimise the risk of such damage as much as possible (e.g. by wearing earplugs);
GHT accepts no liability whatsoever for damage resulting from the actions of third parties, including third parties engaged by GHT such as suppliers, tenants/leaseholders of parts of the venue and persons engaged by these third parties;
damage resulting from the Visitor's failure to follow instructions given by officials engaged by GHT and from failure to comply with general standards of public order, safety and decency;
damage resulting from the loss, damage or theft of goods belonging to the Visitor and brought to the venue;
damage suffered by the Visitor arising from the loss or damage of the admission ticket;
(consequential) damage resulting from unforeseeable changes to the start and end times of the event;
damage caused in any way by other Visitors to the event;
damage caused directly or indirectly to any person or property whatsoever as a direct or indirect consequence of any defect, condition or circumstance relating to, in or on any movable or immovable property of which GHT is the holder, leaseholder, tenant or owner, or which is otherwise at GHT's disposal;
consequential damage and indirect (business) loss on the part of the Visitor
GHT will endeavour to ensure that the programme is carried out as closely as possible to the announced schedule. However, it shall not be liable for any deviations from this schedule or for any damage that may arise as a result for the Visitor and/or third parties. Start times as stated on admission tickets are subject to change. The Visitor is obliged to check regularly (via the website or other GHT communication channels) whether the start time remains unchanged.
The artists included in the event programme determine the content of their performance and the manner in which it is performed. GHT is not liable for the content of and the manner in which the performances included in the event programme are performed, expressly including the duration of the performances and the programme. Nor is GHT liable for changes to the festival programme.
The exclusions and limitations of liability set out in this Article 7 also apply in respect of employees of GHT and/or third parties engaged by GHT.
The exclusions of liability set out in paragraphs 1, 2 and 3 of this Article 7 do not apply to GHT if (i) GHT, or its agent(s) and/or appointee(s), can be blamed for wilful misconduct or gross negligence in relation to the occurrence of the damage and/or (ii) the exclusion or limitation of liability for this damage is prohibited under Belgian law.
ARTICLE 8 - Personal Data
GHT processes personal data of customers and visitors to its websites in accordance with its privacy statement and in compliance with the General Data Protection Regulation and the Act of 30 July 2018 on the protection of natural persons with regard to the processing of personal data. ARTICLE 9 - Final provisions
GHT is entitled to amend these General Terms and Conditions unilaterally, in which case the amended General Terms and Conditions shall apply to admission tickets purchased after the date stated in the amended General Terms and Conditions. The applicable version of the General Terms and Conditions can always be consulted on the GHT website (https://www.greenhousetalent.com/benl/algemene-voorwaarden).
These General Terms and Conditions and any agreement between the Visitor and GHT are governed by Belgian law.
All disputes, disagreements and claims arising from or in connection with these General Terms and Conditions, as well as any agreement concluded between GHT and the Visitor, shall be settled by the competent courts of the judicial district of East Flanders,
